Terms of service

What this is

Vantage Deals is a master-agent orchestrator for service-business agencies. We provide hosted software (the "Service") that runs AI agents — voice intake, SMS reactivation, review reply, rebooking, lead qualification, invoice chasing — on top of your existing tools. By using the Service, you agree to these terms.

Your responsibilities

• You're responsible for the legality of any messages the agents send on your behalf — including compliance with TCPA, CAN-SPAM, GDPR, CCPA, and equivalents in your jurisdiction.
• You only connect data and contacts you have permission to use. You honor opt-outs (STOP/UNSUBSCRIBE) when they happen — the system enforces this in code, but you're still the operator of record.
• You don't use the Service for: regulated activities you're not licensed for; illegal or fraudulent purposes; harassment; or attempts to bypass safety controls.

My responsibilities

• Operate the Service in good faith with reasonable uptime and security.
• Apply DNC, quiet hours (TCPA-compliant 8am–9pm local), and opt-out enforcement at the tool layer.
• Maintain an audit log of every agent action so you can show clients what happened.
• Tell you within 72 hours if your data is breached. (At founding-partner scale, you'd hear from me sooner.)

Fees + refunds

Founding partner fee ($1,997 once) is non-refundable after DFY setup begins, but fully refundable before. Monthly subscriptions cancel any time; you keep your data export rights. Outcome-based pricing (when it ships) bills monthly against the audit log.

Liability + uptime

The Service is provided "as is." I'll do my best to keep it up and accurate. I'm not liable for: indirect or consequential damages; lost revenue from missed messages caused by upstream vendor outages (Twilio, Anthropic, Supabase, Vercel); or actions taken by AI agents within the bounds you authorized. My total liability is capped at the fees you paid in the 90 days prior to a claim.

Termination

Either of us can end the relationship any time. On termination: I export your data on request, delete it within 30 days, and prorate any unearned monthly fees back. Founding-partner lifetime rate locks die with the subscription — there's no "pause and resume at the old rate" trick.

Governing law

These terms are governed by the laws of California, United States. Disputes go to the state and federal courts located there.
